Affiliate Programme Terms
By participating in the Licence ZA (Pty) Ltd Affiliate Programme (“Programme”), the Affiliate agrees to the following terms and conditions:
Appointment
Licence ZA (Pty) Ltd (“the Company”) grants the Affiliate a non-exclusive, revocable, and non-transferable right to refer customers for vehicle licence renewal services, subject to these Terms.Commission and Payment
2.1 Commission shall be payable monthly, in arrears, on successfully completed, processed, and fully paid vehicle licence renewals directly attributable to the Affiliate.
2.2 The Company reserves the sole discretion to determine the validity of referrals and qualifying transactions.
2.3 No commission shall be payable on cancelled, refunded, fraudulent, duplicate, or unpaid transactions.
2.4 The Company reserves the right to withhold or offset commission where reasonably necessary, including but not limited to suspected fraud, disputes, or chargebacks.Performance Requirement
3.1 Affiliates are required to maintain a minimum average of 30 (thirty) paid renewals per month, calculated over a rolling 6 (six) month period.
3.2 The Company reserves the right, at its sole discretion, to suspend, downgrade, or terminate any Affiliate who fails to meet this requirement.Right to Suspend or Terminate
4.1 The Company reserves the right to suspend or terminate the Affiliate’s participation at any time, with or without cause, and without prior notice.
4.2 Upon termination, the Affiliate shall immediately cease representing or promoting the Company.
4.3 The Company may, at its discretion, withhold or forfeit any unpaid commission where the Affiliate is found to be in breach of these Terms.Forfeiture of Commission
Any commission not yet paid at the time of termination may be forfeited where termination arises from breach of these Terms, misconduct, or activities deemed harmful to the Company.Prohibited Conduct
Affiliates shall not:Misrepresent the Company or its services
Engage in false, misleading, or deceptive marketing practices
Send unsolicited communications (spam) in violation of applicable laws
Use the Company’s branding without prior written approval
Engage in any activity that may harm the Company’s reputation or operations
No Exclusivity
This agreement does not create exclusivity. The Company may appoint other Affiliates at its discretion.Independent Contractor
The Affiliate acts as an independent contractor and shall not be deemed an employee, partner, or agent of the Company. The Affiliate has no authority to bind the Company in any manner.Limitation of Liability
To the fullest extent permitted by law, Licence ZA (Pty) Ltd shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Programme, including loss of income, profits, or business opportunities.Indemnity
The Affiliate agrees to indemnify and hold harmless Licence ZA (Pty) Ltd from any claims, damages, losses, or liabilities arising from the Affiliate’s conduct, marketing activities, or breach of these Terms.Amendments
The Company reserves the right to amend these Terms at any time. Continued participation in the Programme constitutes acceptance of such amendments.Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
